Terms of Service

1. Acceptance of Terms

By accessing or using the Detention Timer mobile application or any services provided by Dace, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

Dace, Inc. provides the Detention Timer mobile application, which allows drivers to track detention time and link loads to themselves via SMS-delivered deep links. We may also send you text messages containing links to facilitate use of the application.

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent that you meet this requirement.

4. User Responsibilities

• You agree to provide accurate information, including your phone number, when using our services.
• You are responsible for maintaining the security of your device and account.
• You agree not to use the service for any unlawful purpose or in a way that could damage or impair the service.

5. SMS Communications

By using our service, you consent to receive SMS messages from Dace, Inc. (sent on our behalf by Hype Byte, the brand registered with our SMS provider) containing deep links and service-related communications. You may opt out of these messages at any time. See our SMS Policy for details.

5a. SMS Authorization (Carriers, Brokers, and Dispatchers)

If you use the Detention Timer dashboard as a trucking carrier, freight broker, dispatcher, or any other party that submits a driver's phone number on behalf of someone else (each a "Carrier" for purposes of this section), the following provisions apply:

• Authorization required. You represent and warrant that, before submitting any driver phone number into the Detention Timer dashboard, you have obtained that driver's authorization — under your existing employment, owner-operator, broker–carrier, or other dispatch-bearing business relationship — to share their phone number with Dace, Inc. for the purpose of receiving transactional SMS load-assignment notifications.
• Per-message affirmation. When you click "Send Activation Link" in the Detention Timer dashboard, you will be presented with a confirmation dialog and a required affirmation checkbox restating the authorization requirement. By checking the box and clicking send, you re-affirm your authorization for that specific driver and that specific message. Each affirmation is logged server-side with your user account, IP address, timestamp, user-agent, and the driver's phone number.
• Transactional purpose only. Detention Timer SMS sent under your authorization are limited to load-assignment notifications. You agree not to use the Detention Timer SMS facility to send marketing, promotional, recurring, or non-transactional content of any kind. Dace, Inc. controls the message body and will not transmit any other content.
• Withdrawal of authorization. If a driver revokes their authorization (whether by replying STOP, contacting Dace, Inc. directly, or through any communication with you), you agree to refrain from re-submitting that driver's phone number through the Detention Timer dashboard. Dace, Inc. enforces STOP requests at the platform level; this provision is to ensure you do not attempt to circumvent that enforcement.
• Indemnification. You agree to indemnify, defend, and hold harmless Dace, Inc., Hype Byte, and their respective officers, employees, and agents from and against any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to your breach of this section, including any allegation that a driver did not authorize you to share their phone number with Dace, Inc.
• Audit cooperation. Upon request from Dace, Inc., a wireless carrier, the Cellular Telecommunications Industry Association (CTIA), The Campaign Registry (TCR), the Federal Communications Commission, or other regulatory body, you agree to provide reasonable evidence of the business relationship and authorization underlying any driver phone number you have submitted.

This section applies in addition to, and does not limit, any other provision of these Terms or our SMS Policy.

6. Intellectual Property

All content, trademarks, and intellectual property associated with Detention Timer and Dace, Inc. are owned by Dace, Inc. You may not reproduce, distribute, or create derivative works without our written permission.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, Dace, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

9. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice.

10. Changes to Terms

We may modify these Terms of Service at any time. Continued use of our services after changes constitutes acceptance of the updated terms.

11. Governing Law

These Terms of Service are governed by the laws of the State of California, without regard to conflict of law principles.
